Ms. Woon-Wah Siu is Managing Partner of Pillsbury's Shanghai office. She concentrates her practice in securities and general corporate law, with an emphasis on China-oriented capital markets transactions. She represents Chinese companies in all varieties of securities offerings, ranging from IPOs to fully-marketed and confidentially-marketed follow-on underwritten offerings, registered direct offerings, PIPEs, offerings of depositary receipts, offerings of convertible and other equity-linked securities, and regularly counsels these issuers on corporate governance matters and securities law, SRO and FCPA compliance. She also represents underwriters, placement agents and investors in China-oriented capital markets transactions. In addition, she advises U.S. and international investors in China-related M&A transactions and other FDI-related matters. She also assists PRC companies and MNCs, including the audit or special committees of these companies, in investigating potential securities law and FCPA violations.
